I am concocting a plan to take a train there and arrive at 5pm New Years Eve at Penn Station, and then just stay up the entire time until my train departs New Years Day at 1050am. After the ball drops, how could I occupy my time until we leave (I'll be with a lady friend).

Lots of places are closed, obviously. But I'm sure that there are some bars that are open until 3 or even 4 AM for New Year's. There really isn't much to do on holidays.

Just take a walk around the city. I'd suggest to go to the Brooklyn Promenade and see a view of downtown Manhattan or go to the DUMBO area for a view of midtown. Depending on where you are, it could take a while to get to either place and back if you have a train to catch. It's a good view though. Pictures with the lady friend are must then.
