And if you're doing any sort of candid photography, a quieter shutter is a huge advantage. If you're sticking to landscapes and noncandid portraiture, or stuff like that, it'll be fine. Why do you think people shell out $5,000 for Leicas?
The 40D is a much better camera for those two reasons; the only thing -wrong- with the 20D is the grip. The shutter sound on the 20D isn't bad, but the shutter sound on the 40D is really good.
