1. Autofocus points. Which might not be that big a deal for you. 90% of the time I just use the center point on my 400D anyway. 2. Color histogram. The 350D only gives you a brightness histogram, which won't tell you if you've clipped one color before the other two. 3. Quicker controls. On the 350D, a lot of basic changes don't take effect until you hit the set button. On the 400D, you can change things like ISO and it commits the change as soon as you half-press the shutter button. I'm sure you'd get used to the 350D's way of doing things, but it's still an extra little bit of hassle between you and your shot.
Either way, if you can, I'd recommend holding out for another month or so. By that time, the new 450D will be out, which should drop the prices on the 350D and 400D.
