when you save it as a .png the exif vanishes. If you save it as a .jpg the exif stays in tact.

As for the exif data, whenever I edit in photoshop cs2, it always keeps it for me, so I have no idea :\

Using the "Save for Web" feature in Photoshop will stirp EXIF data regardless of which format you save in. If you want to keep EXIF, you need to use "Save As" or "Save As a Copy" and use JPEG format.
